Capital One Announces Pricing of Common Stock Offering

MCLEAN, Va., March 15, 2012 /PRNewswire/ -- Capital One Financial Corporation (NYSE: COF) today announced the pricing of a public offering of 24,442,706 shares of its common stock, at a per share price of $51.65, for gross proceeds of approximately $1.26 billionMorgan Stanley, Barclays Capital, Citigroup and Credit Suisse are acting as book-running managers for the offering.  The offering is expected to close on March 20, 2012, subject to customary closing conditions.  Capital One intends to use the net proceeds of the offering to fund a portion of its previously announced acquisition of HSBC's U.S. credit card business.
