(Eli) Leenaars was elected a director of Capital One Financial Corporation effective May 8, 2012 after being nominated by ING Groep N.V as a result of ING Groep N.V. exercising its contractual right to nominate a representative to serve on the board of directors of Capital One Financial Corporation. ING Groep N.V. has reported beneficial ownership of 54,790,777 shares of Capital One while disclaiming beneficial ownership of 762,691 of those shares. Mr. Leenaars disclaims beneficial ownership of all Capital One Financial Corporation shares held by ING Groep N.V.
